Welcome to the University of Medical Sciences Arizona’s Continuing Education portal (the”Portal”). By accessing or using the Portal and its contents, you agree to abide by the following terms and conditions ("Terms of Use"). Please read them carefully before enrolling in a course or accessing any content.
1. Acceptance of Terms
By enrolling in or accessing courses, you acknowledge and agree to these Terms of Use. If you do not agree to these Terms of Use, you should not access the courses or their materials. These Terms of Use apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.
2. Course Content
Courses provide educational materials on topics related to healthcare. All content provided, including videos, articles, quizzes, and other educational resources, is for informational purposes only. The content is not intended as medical advice and should not replace professional consultation with healthcare providers.
3. Eligibility
To enroll in courses, you must be 18 years or older and have the legal capacity to enter into these Terms of Use. The courses are designed for healthcare professionals, caregivers, and individuals seeking to advance their knowledge base.
By agreeing to these Terms of Use, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence, and you have given us your consent to allow any of your minor dependents to use this site.
4. Account Registration
To access courses, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately if you suspect any unauthorized use of your account.
5. Use of Course Materials
You may access and use the course materials for personal, non-commercial educational purposes only. You agree not to copy, reproduce, distribute, transmit, display, or create derivative works of any of the Course content without prior written permission from us.
6. Payment and Refunds
Prices for our courses are subject to change without notice. We reserve the right to modify or discontinue a course or certificate program (or any part or content thereof) without notice at any time.
We will not be liable to you or to any third-party for any modification, price change, suspension, or discontinuance of a course or certificate program.
If the course requires payment, you agree to provide accurate payment information. All payment transactions are processed securely. The Portal accepts these forms of payment: Visa, MasterCard, American Express, and Discover credit cards and/or other digital payment platforms that may be available at the time of purchase. Billing occurs at the time of or shortly after your transaction.
You agree that you will pay for all products and services you purchase through the Portal, and that the Portal may charge your credit card for any products and services purchased through the Portal and for any additional amounts (including any taxes and late fees, as applicable) that may be accrued by or in connection with your purchases. YOU ARE RESPONSIBLE FOR THE TIMELY PAYMENT OF ALL FEES AND FOR PROVIDING University of Medical Sciences Arizona WITH A VALID CREDIT CARD FOR PAYMENT OF ALL FEES. All fees will be billed to the credit card account you designate during the registration process. If you want to designate a different credit card or if there is a change to your credit card account status, you must change your information online in the Account Settings section of the Portal.
Your total price will include the price of the products and services purchased plus any applicable sales tax; such sales tax is based on the bill-to address and the sales tax rate in effect at the time you download the products and services. The University of Medical Sciences Arizona will charge tax only in states where digital goods are taxable. All currencies denoted are in USD.
We do not offer refunds for any products or services purchased through our website unless explicitly stated otherwise. All sales of online services are final.
7. Intellectual Property
All course content, including but not limited to text, graphics, images, logos, and videos, is the intellectual property of University of Medical Sciences Arizona and is protected by copyright laws. Unauthorized use of course content is prohibited.
Should you breach these Terms of Use, your right to use the Portal will stop immediately and you must, at the University of Medical Sciences Arizona discretion, return or destroy any copies of the materials you have made. The University of Medical Sciences Arizona may seek injunctive relief, at any time, without the necessity of proving damages, in addition to any other remedies available by law. No right, title, or interest in or to the Portal or any content on the Portal is transferred to you, and all rights not expressly granted are reserved by University of Medical Sciences Arizona.
8. User Conduct
When using the course, you agree not to:
- Engage in any activity that violates applicable Hawaii laws or regulations.
- Upload or share offensive, harmful, or unlawful content.
- Use the course for any illegal or unauthorized purpose or in a manner that: (a) infringes, violates or misappropriates any rights of any person, including intellectual property, confidentiality or privacy rights, (b) is harmful, fraudulent, deceptive, misleading, threatening, harassing, defamatory, offensive, biased, obscene, vulgar, indecent, menacing, tortious or otherwise objectionable as determined by the University of Medical Sciences Arizona in the university’s sole discretion, (c) attempts, in any manner, to obtain the password, account, or other security information from any other user, (d) violates the security of any computer network, or crack any passwords or security encryption codes, (e) submit false or misleading information or (e) violates any laws, rules or regulations in your jurisdiction (including but not limited to copyright, data protection and privacy laws) as well as the laws of United States of America.
- reverse engineer, decompile, disassemble, decrypt or otherwise attempt to discover the code or underlying structure, ideas, know-how or algorithms relevant to the Portal or access the portal, or write or develop any program based on the Portal or any portion thereof, in order to build a similar or competitive product or service or copy any ideas, features, functions, or graphics of the Portal.
- circumvent or attempt to circumvent any limitations imposed on your account including any license, timing or use restrictions that are built into the Portal.
- lend, sell, resell, lease, sublicense, transfer, assign, distribute, grant a security interest in, or otherwise use the Portal for the benefit of a third party, unless we have given you prior written authorization.
- modify, translate, or create derivative works based on the Portal or any software, hardware, documentation or data related to the Poral, in whole or part, or reproduce, duplicate, copy, or exploit any portion of the Portal in whole or in part except to the extent expressly permitted in writing by University of Medical Sciences Arizona or authorized within the Portal.
- upload, transmit, disseminate or use the Portal to send or store malicious code, including any worms, viruses, Trojan horses, or any other software or code of a destructive nature.
- use the Portal to collect or store any sensitive information (“Sensitive Information”) including, but not limited to personal health information, banking and credit card information, and if you do use the Poral to collect, store or otherwise process any Sensitive Information you do so at your own risk and you are responsible for ensuring compliance with all applicable laws.
- use the Portal other than in accordance with our product documentation.
- permit the Portal to be used by anyone other than yourself.
- circumvent or otherwise interfere with any authentication or security measures of the Portal, or otherwise interfere with or disrupt the integrity or performance of the Portal, including doing anything to, or using the Portal in a way that may, cause the Portal to be interrupted, damaged, rendered less efficient or such that the effectiveness or functionality of the Portal is in any way impaired, including overloading, flooding, spamming, mailbombing or crashing.
- use any robot, spider, device, technology or process to monitor or copy any data or pages within the Portal without University of Medical Sciences Arizona’s prior written consent.
We reserve the right to terminate your use of the Portal or any related website for violating any of the prohibited uses.
9. User Comment, Feedback, Grant and Conditions
If you choose to provide feedback including any ideas, suggestions, concepts, processes, techniques, questions, answers, codes/scripts, and other comments related to our course products, site, proposed services, documentation or business (“Feedback”), we will own and may use such Feedback without any restrictions and obligations to you, and you hereby waive any claim you have to ownership, compensation, monetary or otherwise.
You grant us a non-exclusive right to use your trade-names, trademarks, service marks, trade dress and logos to promote our service.
We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Use.
You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive, or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Portal and its contents or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead the University of Medical Sciences Arizona or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.
10. Disclaimers
The course is provided "as is" and without warranties of any kind, either express or implied, including but not limited to the accuracy, completeness, or reliability of the content. The University of Medical Sciences Arizona does not guarantee that the Course will meet your expectations or requirements.
The course is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read with a course. The opinions expressed are for informational purposes only and are not to be considered by you, or anyone, as appropriate or professional, or diagnostic of your condition or situation.
The Portal does not recommend or endorse any specific tests, products, procedures, opinions, or other information found on the Portal. Use of the Portal is solely at your own risk.
While the University of Medical Sciences Arizona will make all reasonable efforts to offer CE units/credits for each course, the University of Medical Sciences Arizona is not responsible for state or national or regulatory changes in CE requirements that may make courses ineligible for CE units/credits.
The University of Medical Sciences Arizona shall not be held responsible for the reporting of continuing education units/credits to professional associations and/or state licensure boards.
11. Optional Tools
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new products and/or features through the website (including, the release of new tools and resources). Such new features and/or products will be subject to these Terms of Use.
12. Limitation of Liability
In no event shall University of Medical Sciences Arizona, its instructors, or affiliates, be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of your use or inability to use the course.
The University of Medical Sciences Arizona has the right to remove or modify the Portal, as well as any services or content available on it, at our discretion and without prior notice. The University of Medical Sciences Arizona will not be held responsible if the Portal, or any part of it, is unavailable at any time or for any duration. Occasionally, due to a scheduled maintenance, access may be limited to certain sections or the entire Portal for users which includes those who are registered.
In order to access the Portal or some of its resources, you may need to provide certain registration details or other information. By using the Portal, you agree that all the information you provide is accurate, up-to-date, and complete. You acknowledge that any information you submit to register or interact with the Portal is subject to our Privacy Policy, and you consent to how the University of Medical Sciences Arizona handles your information in accordance with that policy.
If you are given a username, password, or any other security information as part of our procedures, you must keep it confidential and not share it with anyone. You also acknowledge that your account is for your personal use only and agree not to allow others to access the Portal or its parts using your login details. If you notice any unauthorized use of your account or security information, you agree to notify us immediately at [email protected]. Additionally, you agree to log out of your account at the end of each session. When accessing your account from a public or shared computer, you should be especially cautious to prevent others from seeing or recording your password or personal details.
Any misuse of the Portal or its content, including but not limited to the misuse of free course offerings, will be considered a breach of these Terms of Use. The University of Medical Sciences Arizona reserves the right to deactivate any username, password, or other identification, whether selected by you or assigned by the University of Medical Sciences Arizona, at any time and for any reason, or no reason at all, especially if University of Medical Sciences Arizona believes you have violated any part of these Terms of Use.
When using the Portal, information is transmitted over the internet, a medium outside the control and jurisdiction of University of Medical Sciences Arizona and its suppliers, partners, presenters, authors, and content providers. As such, University of Medical Sciences and its affiliates are not responsible for any delays, failures, interruptions, or corruption of data or other information transmitted while using the Portal. The University of Medical Sciences Arizona does not offer any guarantees or assurances regarding the security of the Portal, its content, or any submissions made. Data sent over the internet can be intercepted by third parties, so if you're concerned about security, it's advisable not to send sensitive information over the internet. You are responsible for keeping your user ID and password confidential, and for all activities that occur under your account, whether or not you authorized them.
You are not allowed to transfer or delegate your rights or responsibilities under your subscription, including your login information, without obtaining prior written consent from University of Medical Sciences Arizona, which will not be unreasonably withheld. University of Medical Sciences Arizona, however, may transfer or assign any or all of its rights under these Terms of Use to an affiliate or in the event of a merger, acquisition, corporate restructuring, or sale of all or most of its assets. Any attempt to assign or delegate in violation of this section will be considered invalid.
University of Medical Sciences Arizona shall not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the site or any services or items obtained through the site or to your downloading of any material posted on it, or on any website linked to it.
The site and the content are provided to you on an "as is" and "as available" basis without warranty of any kind either express or implied, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, systems integration, accuracy, reliability, completeness, timeliness and non-infringement. The University of Medical Sciences Arizona makes no representations or warranties that use of the Portal or the content will be uninterrupted, timely, secure or error-free. You are responsible for taking all necessary precautions to ensure that any content you obtain is free of viruses or any other harmful components.
The foregoing does not affect any warranties which cannot be excluded or limited under applicable Hawaii law.
In no event shall University of Medical Sciences Arizona, its licensors, its suppliers, partners, presenters, authors, content providers, or any third parties be liable for any damages (including, without limitation, incidental and consequential damages, personal injury or wrongful death, lost profits, or damages resulting from lost data or business interruption) resulting from the use or inability to use the site or the content, whether based on warranty, contract, tort, or any other legal theory, and whether or not the University of Medical Sciences Arizona is advised of the possibility of such damages.
You acknowledge that our entire liability (and that of our third party providers) under these Terms of Use, or any matter relating to these terms and conditions, regardless of the form of any claim or action or theory of liability (including contract, tort, or warranty) shall not exceed one hundred dollars (US$100) and that amount shall be in lieu of all other remedies which you may have against any third party provider and the University of Medical Sciences Arizona and their respective affiliates.
13. Errors, Inaccuracies and Omissions
Occasionally there may be information on the site or in the Portal that contains typographical errors, inaccuracies or omissions that may relate to course product descriptions, pricing, promotions, offers, transit times and availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information in the Portal or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).
No specified update or refresh date applied in the Portal or on any related website, should be taken to indicate that all information in the Portal or on any related website has been modified or updated.
14. Third-Pary Link
Certain content and services available via the Portal may include materials from third-parties. Third-party links on this site may direct you to third-party websites that are not affiliated with the University of Medical Sciences Arizona. The university is not responsible for examining or evaluating the content or accuracy and does not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties.
The University of Medical Sciences Arizona is not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you transact. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.
15. Indemnity
By using the Portal, you agree to defend, indemnify, and hold the University of Medical Sciences Arizona, its affiliates, suppliers and licensors, and their respective officers, directors, authors, presenters, employees, contributors, agents, licensors, corporate partners, advisors and advisory board, harmless from and against any claims, actions or demands, liabilities and settlements including, without limitation, legal and accounting fees, resulting from, or alleged to result from any use of or problem related to the Portal or its Content.
16. Modification of Terms
The University of Medical Sciences Arizona reserves the right to modify or update these Terms of Use at any time. Any changes will be posted on this page with an updated "Last Updated" date. By continuing to access or use the course after changes are posted, you accept the updated terms.
17. Termination
The University of Medical Sciences Arizona may suspend or terminate your access to the Portal and its content including its courses at our sole discretion, without notice, if the University of Medical Sciences Arizona believes you have violated these Terms of Use.
The obligations and liabilities of the parties incurred prior to the termination date will survive the termination of this agreement for all purposes.
These Terms of Use are effective unless and until terminated by either you or us. You may terminate these Terms of Use at any time by notifying us that you no longer wish to use the Portal, or when you cease using our site.
18. Entire Agreement
The failure of the University of Medical Sciences Arizona to exercise or enforce any right or provision of these Terms of Use does not constitute a waiver of such right or provision.
These Terms of Use and any policies or operating rules posted by the University of Medical Sciences Arizona on this site or in respect to The Portal constitutes the entire agreement and understanding between you and the University of Medical Sciences Arizona and govern your use of the Portal, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and the University of Medical Sciences Arizona (including, but not limited to, any prior versions of the Terms of Use).
Any ambiguities in the interpretation of these Terms of Use shall not be construed against the drafting party.
19. Governing Law
These Terms of Use are governed by the laws of Hawaii. Any disputes arising from or related to these Terms of Use shall be resolved in the appropriate courts in Hawaii, without regard to principles of conflicts of laws. Each party agrees that a substantial portion of the anticipated performance of these Terms of Use occurred or shall occur in Honolulu County, Hawaii. Any civil action or legal proceeding arising out of or relating to these Terms of Use shall be brought in the courts of record of the State of Hawaii in Honolulu County. Each party consents to the jurisdiction of such court in any such civil action or legal proceeding in such court. Service of any court paper may be affected on such party by mail or in such other manner as may be provided under applicable laws, rules of procedure or local rules.
Except for claims arising from your misuse of the Portal and its content, you agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Portal and its content or these Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred.
20. Changes to Terms of Use
Any new features or tools which are added to the current Portal are subject to the Terms of Use. You can review the most current version of the Terms of Use at any time on this page. We reserve the right to update, change or replace any part of these Terms of Use by posting updates and/or changes to the Portal and its contents. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Portal and its contents following the posting of any changes constitutes your acceptance of those changes
